Reasons to Vote FOR the Transaction
Has Aurora agreed to a transaction with Organigram?
Yes. Aurora has agreed to a proposed transaction under which Organigram would acquire Aurora, subject to shareholder, court, and regulatory approvals and other customary closing conditions.
A special committee of independent directors (the “Special Committee”) and the Aurora Board determined that the Transaction is in the best interests of Aurora, and the Aurora Board is recommending that Aurora shareholders vote in favour of the Transaction.
What am I entitled to receive under the transaction?
Aurora shareholders will have the option to elect to receive:
C$7.80 per Aurora Share in cash or 5.8626 common shares in the capital of Organigram per Aurora Share
OR
Combined consideration of C$3.75 per Aurora Share in cash plus 3.0431 Organigram Shares per Aurora Share held.
Proration:
Aurora shareholders electing to receive the Cash Consideration or the Share Consideration will be subject to proration as set out in the Arrangement Agreement so that the aggregate consideration will include no more than 205,816,172 Organigram Shares and no more than C$253,638,772 in cash.
Why is Aurora recommending this transaction?
The Board and Special Committee evaluated the transaction against the available alternatives, including Aurora continuing as a standalone company.
Following extensive review and due diligence, they concluded that the proposed transaction provides Aurora shareholders with compelling immediate value, meaningful choice in how they receive their consideration, and the opportunity for continued participation in the future growth and value creation of the combined company.
The combination brings together highly complementary Canadian global operators to create greater scale, broader capabilities, financial strength and international reach.
Did the Board and Special Committee consider alternatives?
Yes. The Transaction emerged from a robust strategic review process conducted by Aurora under the oversight of the Special Committee, with advice from independent legal and financial advisors. The review included an extensive market check and outreach to multiple parties.
Following that process, the Special Committee and Board determined that the Transaction is in the best interests of Aurora and believe it is superior to the Curaleaf Hostile Bid and the best actionable path forward to maximize value for Aurora shareholders.
Would Aurora shareholders own part of the combined company?
Shareholders who elect to receive organigram shares would participate in the combined company. Aurora shareholders are expected to collectively hold approximately 35% pro forma economic ownership and approximately 42% voting ownership on a fully diluted basis, giving them a meaningful opportunity to participate in the combined company’s future growth and value creation.
